By using this website or entering into a service agreement with ZenyxBitCa, you confirm that you have the authority to accept these terms on behalf of yourself or the organization you represent, and that you agree to comply with them in full.
ZenyxBitCa provides digital consulting services including process automation, data analysis, operational efficiency review, strategic growth planning, project management, and digital transformation support. Specific deliverables and scope for any engagement are defined in a separate signed proposal or statement of work.
Clients agree to provide timely, accurate information and reasonable access to relevant personnel and systems necessary for ZenyxBitCa to perform contracted services. Delays caused by incomplete information or unavailable stakeholders may affect project timelines and are not the responsibility of ZenyxBitCa.
Unless otherwise agreed in writing, methodologies, frameworks, and pre-existing tools used by ZenyxBitCa remain our intellectual property. Deliverables created specifically for a client under a paid engagement are licensed or transferred according to the terms specified in the applicable service agreement.
Fees, invoicing schedules, and payment terms are set out in the relevant proposal or contract. Late payments may result in suspension of active work until accounts are brought current, and may accrue interest as permitted under applicable law.
To the maximum extent permitted by law, ZenyxBitCa's liability for any claim arising from these terms or our services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
These Terms of Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
